Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your use of the SwiftLR and HeyStock mobile applications and the matrlsai.in website (together, the "Service"), operated by MatrlsAI, Bangalore, India. By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Who Can Use the Service

You must be at least 18 years old and legally authorised to enter into contracts under Indian law to use the Service. By using it, you represent that you meet these requirements. SwiftLR is designed for transport offices, logistics operators, and related businesses; HeyStock is designed for shop owners and their staff. Neither is a consumer product.

3. Description of Service

SwiftLR allows transport offices to:

  • Scan handwritten lorry receipts (LRs) and generate digital records using AI.
  • Send digital LRs to consignees via WhatsApp.
  • Receive arrival confirmation and send automatic WhatsApp notifications to consignees.
  • Store and search digital LR records for GST and audit purposes.
  • Receive a nightly dispatch summary on WhatsApp.

HeyStock allows shop owners and their staff to:

  • Record stock, sales, and returns by voice, text, or by scanning a supplier invoice, in supported Indian languages.
  • Keep a customer credit book and a supplier dues book.
  • Use the app on several phones in the same shop, with owner and staff roles.
  • Receive low-stock alerts, a nightly shop report, and a spoken bill total on request.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

4. Free Trial and Subscription

New users of each app receive a free trial with full access to its features. No payment is required to start the trial. At the end of the trial period, continued use requires a paid subscription. Trial length, subscription pricing, billing cycles, and payment terms are shown within the app before any charge is made. Payments are processed by Razorpay.

You may cancel your subscription at any time from within the app. We do not offer refunds for partial subscription periods unless required by applicable law.

5. Your Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials, shop code, and devices. We will never ask for your OTP, password, or shop code over a phone call or WhatsApp.
  • Checking that the information the apps capture — party names, GST numbers, and freight amounts in SwiftLR; items, quantities, prices, and amounts in HeyStock — is accurate before you confirm it.
  • Obtaining any consents required from consignees before sending them WhatsApp notifications using SwiftLR, and from customers before recording their credit in HeyStock.
  • Managing which staff devices can access your HeyStock shop, and for all activity on those devices.
  • Complying with all applicable Indian laws, including GST regulations and the Information Technology Act, 2000.
  • All activity that occurs under your account.

HeyStock is a record-keeping tool. It does not compute GST or file taxes. Shop establishment, labour, and tax compliance remain the shop owner's responsibility.

6. Prohibited Uses

You may not use the Service to:

  • Generate fraudulent, fabricated, or misleading lorry receipts or business records.
  • Send unsolicited or spam messages to any party via WhatsApp.
  • Reverse-engineer, decompile, or attempt to extract the source code of either app.
  • Use the Service in any way that violates Indian law or the rights of any third party.
  • Attempt to gain unauthorised access to our systems or another user's account.
  • Use automated bots or scripts to access the Service.

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

7. Intellectual Property

The SwiftLR and HeyStock names, logos, app designs, and all underlying technology are the intellectual property of MatrlsAI and are protected under applicable Indian and international laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only. Nothing in these Terms transfers any ownership rights to you.

Your business data — lorry receipts, stock, sales, and credit records — remains yours. By using the Service, you grant us a limited licence to process and store that data solely to provide the Service to you.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error-free, or that AI features — handwriting and invoice reading, speech recognition, and understanding of entries — will be 100% accurate at all times. You should always check what the app has captured before confirming it.

We are not responsible for any action taken by WhatsApp (Meta) or other third-party providers that affects the delivery of messages or notifications sent through our integrations.

9. Limitation of Liability

To the fullest extent permitted by Indian law, MatrlsAI shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of or inability to use the Service, including but not limited to loss of business, loss of revenue, or data loss.

Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the three months immediately preceding the claim.

10. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify registered users through the app or via WhatsApp and update the "Last updated" date above. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
